Terms of Service

These terms are the agreement between you and Lezama Kitchen Labs Inc. for the use of The Sharp Chef. By subscribing or using the app you accept them.

They are written to be read. If something here is unclear, email us and ask — we would rather explain it than have you agree to something you did not follow.

What the service is

The Sharp Chef is web software for kitchen operations: recipes and costing, prep planning, day sheets, inventory, waste logging, supplier purchase orders and menu analysis. It runs in a browser at app.sharpchef.ca. There is nothing to install.

Your account

You need an account to use the app, and you are responsible for what happens under it. Keep your sign-in details to yourself, and tell us promptly if you think someone else has them.

One subscription covers one kitchen operation. If your staff use the app, you are responsible for their use of it.

Trial, prices and billing

  • New subscribers get a 14-day free trial. A card is required to start it, and nothing is charged during the trial.
  • Prices are in Canadian dollars and are stated exclusive of tax. Applicable taxes are added at checkout and shown on your invoice.
  • Monthly plans renew monthly, yearly plans renew yearly, automatically, charged to the card on file on the invoice date, until you cancel.
  • Payments are processed by Stripe. We never see or store your card number.
  • Your invoice carries our GST/HST registration number so you can claim the input tax credit.

Who you are buying from

The Sharp Chef is made and operated by Lezama Kitchen Labs Inc. in Vancouver, Canada. Depending on where you are, your subscription is sold either by us directly or through a reseller, and this affects your invoice.

  • In Canada and the United States, you buy directly from Lezama Kitchen Labs Inc. We are the seller of record, your invoice comes from us and carries our GST/HST registration number, and a registered business can use it to claim an input tax credit where it is eligible to.
  • In Mexico, your subscription is sold through Stripe acting as merchant of record. Stripe is the legal seller for that transaction: it charges and remits Mexican IVA and issues your tax receipt. Your card statement will show LINK.COM rather than our name.
  • Which applies is determined by the country you select at checkout, and checked against the billing address you give. If the two disagree we may contact you to put it right.

In every case the software, the support and these terms are ours. For Mexican subscriptions, billing questions and refunds may be handled by Stripe as the seller, and we will help you reach them.

If a payment fails

Cards expire and banks decline things. If a renewal payment fails, your access stays on for 7 days while you sort it out — your kitchen does not lose its recipes in the middle of service over an expired card.

We will email you, and Stripe will retry automatically. If it is still unresolved after the grace period, access pauses until payment succeeds.

Cancelling

You can cancel at any time from the billing portal inside the app. There is no cancellation fee and no notice period.

Cancelling stops future renewals. You keep access until the end of the period you have already paid for.

After that we keep your data for 90 days in case you come back, then delete it permanently. You can ask for a copy of your data, or for earlier deletion, at any time.

Refunds

We are a small company and we would rather fix a problem than keep money from an unhappy kitchen. If something goes wrong, write to us and tell us what happened.

We are not obliged to refund a period you have used, but we will consider any reasonable request on its facts. Refunds are issued through Stripe to the original payment method.

Your recipes are yours

Everything you put into the app — recipes, costs, supplier details, methods — remains your property. Building this software gives us no claim over it.

You give us permission to store and process that content only so far as running the service requires. We do not use it to train models, we do not share it with other customers, and we do not sell it.

What you are responsible for — read this one

The Sharp Chef helps you plan and calculate. It does not make you compliant with anything, and it does not replace your professional judgement.

Allergen tags, dietary labels and ingredient lists are only as accurate as what is entered and what your suppliers tell you. You are responsible for verifying allergen information before serving anyone. Do not treat what the app displays as a substitute for checking.

The same goes for food safety, labour rules, and your tax and accounting obligations. Costing figures are a planning aid, not accounting advice, and you should confirm anything that matters with your accountant.

Acceptable use

  • Do not resell or redistribute access to the app.
  • Do not attempt to break, overload, reverse-engineer or gain unauthorised access to the service.
  • Do not upload content that is unlawful, or that you do not have the right to use.

Availability

We aim to keep the service running and available, and we watch it. We do not promise uninterrupted service, and there will occasionally be maintenance or an outage at a provider we rely on.

We are not offering a formal uptime guarantee, and we would rather say so than publish a number we cannot back.

Limits of our liability

The service is provided as it is. To the extent the law allows, we are not liable for indirect or consequential losses — lost profits, lost business, or loss of data beyond our reasonable control.

Where we are liable, our total liability is limited to what you paid us in the 12 months before the claim.

Nothing here limits liability that cannot lawfully be limited.

Changes to the service and to prices

The app will change — that is what an actively developed product does. We may add, alter or remove features.

If we change the price of your plan, we will tell you by email at least 30 days beforehand, and the new price applies from your next renewal. If you do not want it, cancel before then.

Ending the agreement

You may stop using the service at any time. We may suspend or end an account that breaches these terms, or where we are required to by law. If we end your account without cause, we will refund the unused part of the period you paid for.

Governing law

These terms are governed by the laws of British Columbia and the laws of Canada that apply there. The courts of British Columbia have jurisdiction.

Changes to these terms

If we update these terms we will change the effective date above, and for significant changes we will email account holders. Continuing to use the service after a change means you accept it.
